Announcement regarding the regular session of Gorenje, d.d., Supervisory Board

The Supervisory Board Audit Committee and the Supervisory Board revisited in their sessions held this week the approval of loan by Gorenje to Merkur in 2008. Gorenje granted the loan to Merkur exclusively for the purpose of financing the extension of Merkur's retail network in Slovenia and in the Western Balkans. The Audit Committee and the Supervisory Board had previously in 2010 discussed the approval of the said loan upon request by the Management Board. Both in 2010 and at today's session, the Supervisory Board did not find any irregularities regarding the said loan which was exclusively commercial in its nature.

 

In addition to the regular Supervisory Board session, a session of the Supervisory Board Human Resources Committee was also held today. Joined by the President and CEO Mr. Franjo Bobinac as the holder of the mandate to propose the Management Board members, they jointly discussed some candidates for the position of the company CFO. Since several candidates have applied for the position of Gorenje CFO, the Supervisory Board and Gorenje President and CEO decided to conduct all necessary interviews before the final decision is adopted – this will presumably be in Supervisory Board session scheduled for April.

 

The central item of today's Supervisory Board session agenda was presentation and discussion of the unaudited financial statements of the Gorenje Group and the parent company Gorenje, d.d., for the 2011 fiscal year. Pursuant to the financial calendar, summary of these statements will be announced on Monday, March 12^th 2012.
